Reseller Policy and Commercial Relationship
This Reseller Policy establishes the framework applicable to commercial relations between Couleurs D'Argent and its Resellers, Partner Stores and Independent Retailers, regulating the conditions of admission, supply, invoicing, commercial terms, use of brand materials, institutional communication and other obligations inherent to the sale of the pieces.
Integration as a business partner does not, under any circumstances, constitute an employment relationship, partnership, exclusive representation, agency agreement, exclusive distribution, or any form of legal or economic dependence, unless expressly stipulated in a written contract signed between the parties.
The commercial relationship is governed by the principles of private autonomy, contractual good faith, and the applicable provisions of Portuguese commercial law, without prejudice to any European rules that may be applicable depending on the partner's location.
Admission and Evaluation Process
Integration as a Reseller, Partner Store or Independent Salesperson is subject to prior application and strategic evaluation by Couleurs D'Argent.
The candidate must submit, at a minimum, the following elements:
- Full identification or company name;
- Valid Tax Identification Number;
- Proof of open business activity;
- Business address;
- Updated contact information;
- Detailed description of the sales channel (physical store, online store, showroom, or direct sales).
Couleurs D'Argent may, at any time, request additional documentation or clarifications that it deems necessary for analysis purposes.
The brand reserves the right to reject applications based on strategic criteria, market positioning, aesthetic coherence, commercial reputation, location, direct competition, or any other factor deemed relevant to the protection and enhancement of the Couleurs D'Argent identity.
Approval of the application only takes effect after formal written notification from Couleurs D'Argent, and does not confer any acquired rights until the respective commercial agreement is signed.
For applications relating to establishments located in Portugal, Couleurs D'Argent may, after a favorable preliminary assessment, arrange an on-site visit through one of its exclusive sales representatives. This visit is for the final validation of the point of sale and the formalization of the contract, which may be concluded directly by the authorized sales representatives, subject to internal brand approval.
First Acquisition
Integration as a business partner involves an initial acquisition, strategically defined by Couleurs D'Argent, with the aim of ensuring a coherent brand presentation at the point of sale.
The commercial terms applicable to the initial purchase, including values, payment structure, and other associated terms, will be communicated and agreed upon directly at the time of contract formalization. Confirmation of the partnership and the respective supply will only take effect after internal validation and fulfillment of the conditions agreed upon by the parties.
Payment terms applicable to subsequent orders may vary depending on the evolution of the business relationship, performance, compliance history, and recorded sales volume.
Payment terms are determined on a case-by-case basis, through internal evaluation by Couleurs D'Argent. The brand reserves the right to adjust or revise the agreed conditions whenever necessary to safeguard the commercial relationship. In cases of non-compliance, applicable legal provisions may be applied, in accordance with Portuguese legislation applicable to commercial transactions.
Billing and Tax Regime
Sales invoicing will be carried out in accordance with current Portuguese tax legislation, specifically under the applicable terms of the Value Added Tax (VAT) Code.
Resellers established within the national territory will be subject to the legal VAT rate in effect on the date of invoicing.
Intra-Community resellers may benefit from the application of the VAT exemption regime on intra-Community supplies of goods, provided that a valid VAT identification number is validated through the VIES system, in accordance with the legally established terms.
For transactions destined for third countries, the tax regime applicable to exports will be applied, in accordance with Portuguese legislation.
Couleurs D'Argent assumes no responsibility for any tax, customs, or reporting obligations of the Reseller in their country of establishment; these are the sole responsibility of the business partner.
Territorial Exclusivity
The eventual granting of territorial exclusivity will always depend on a specific written agreement signed between the parties, and cannot be presumed under any circumstances.
When granted, exclusivity may be conditional upon the cumulative fulfillment of requirements defined by Couleurs D'Argent, namely a minimum annual purchase volume, strict compliance with the agreed commercial conditions, maintenance of the brand image and positioning, as well as punctuality in fulfilling financial obligations.
Failure to comply with the established conditions may result in the review or revocation of the exclusivity agreement, without this entitling the partner to any compensation or indemnity.
In the absence of a written contract providing for exclusivity, Couleurs D'Argent reserves the right to appoint other resellers, sales representatives or partners in the same territory, without prior notice.
Pricing and Margin Policy
Couleurs D'Argent defines its own commercial policy, structured according to the brand's premium positioning and the sustainability of its partner network.
The terms of purchase, profit margins, and applicable pricing tables are communicated confidentially to approved partners during the contract formalization process and may vary depending on the collaboration model, purchase volume, and strategic framework.
Couleurs D'Argent establishes recommended retail prices with the aim of ensuring market consistency, enhancing the value of the pieces, and protecting the brand's identity. Partners commit to acting in accordance with this policy, refraining from practices that could compromise the brand's positioning, namely aggressive discount policies or unfair competition between points of sale.
The brand reserves the right to revise the commercial terms whenever there are changes in the market, production costs, positioning strategy, or the partner's commercial performance.
Use of Branding, Digital References and Communication
The Couleurs D'Argent brand, as well as its logo, visual identity, photographs, graphic materials, digital content and other distinctive elements, are the exclusive property of Couleurs D'Argent and are protected under applicable intellectual and industrial property legislation.
The use of the brand and its materials is permitted exclusively to approved commercial partners and only for purposes directly related to the promotion and marketing of the products, and must fully respect the visual identity, positioning, and communication guidelines defined by the brand.
With the aim of ensuring institutional consistency and strengthening brand identity with the public, partners commit to mentioning Couleurs D'Argent in their digital communication channels, including website, social media, and other platforms used for commercial promotion. Whenever applicable, a clear reference to the brand must be included, and a link to the official Couleurs D'Argent website may be integrated in an institutional and informative manner, without prejudice to the partner's commercial autonomy.
Mention of the brand must respect the communication standards defined by Couleurs D'Argent and cannot be used in a way that could mislead as to the nature of the existing commercial relationship.
The creation of proprietary campaigns, promotional content, or communication initiatives involving the brand must, when applicable, be previously validated by Couleurs D'Argent.
The brand reserves the right to request the correction or immediate removal of any materials it deems inappropriate, incorrect, or likely to harm its image.
Display and Showcase Materials
Couleurs D'Argent may provide window display materials, displays, visual supports, and other merchandising elements intended exclusively for the exhibition and promotion of the brand's pieces.
These materials remain the exclusive property of Couleurs D'Argent, being ceded on a temporary and precarious basis, only for the duration of the commercial relationship and under the conditions previously agreed upon by the parties.
The use of these materials for the display of products from other brands is expressly prohibited, as is their modification, adaptation, alteration of visual identity, or assignment, loan, or transfer to third parties, even free of charge.
The partner agrees to maintain the materials in good condition and ensure proper use, assuming responsibility for damages resulting from misuse, negligence, or unauthorized alteration.
Couleurs D'Argent reserves the right to request the immediate return of materials at any time, especially in the event of termination of the business relationship or breach of the established conditions, and no compensation will be due for their return.
Repair Policy
Parts that exhibit manufacturing defects are covered by the applicable legal regime, under the terms of Decree-Law No. 84/2021, relating to consumer rights in case of non-conformity.
Damage resulting from misuse, accident, natural wear and tear from regular use, contact with chemical agents, improper storage, or interventions carried out by third parties not authorized by Couleurs D'Argent are not considered defects in conformity.
Repairs not covered by the legal warranty will be subject to prior technical analysis. If the intervention is deemed feasible, a specific quote will be provided, calculated according to the brand's internal technical and operational criteria, and may include costs associated with materials, specialized labor, and applicable logistics services. The execution of the repair will always depend on the express approval of the client or business partner.
Shipping and return shipping costs associated with repairs outside the scope of the warranty will be the responsibility of the customer or partner, unless otherwise stipulated in the contract. In cases covered by the legal warranty, transportation costs will be handled in accordance with applicable legislation.
Reseller Responsibility
The Retailer is committed to preserving the technical, aesthetic, and commercial integrity of Couleurs D'Argent pieces, as well as safeguarding the brand's reputation and market position.
Any alteration, modification, disassembly, adaptation or intervention on the pieces is expressly prohibited, including structural adjustments, component replacement, additional engravings or customizations not authorized by Couleurs D'Argent.
Subcontracting repair, restoration, or technical intervention services to third parties not authorized by the brand is not permitted. Any external intervention carried out without prior written authorization from Couleurs D'Argent will result in the immediate termination of the applicable warranty.
The reseller may not remove certifications, labels, identifying elements, official packaging, or any distinctive components associated with the brand's authenticity, nor use unofficial packaging in the sale of the items.
Failure to comply with the above provisions may result in the suspension of the commercial partnership and the application of the contractual measures provided for.
Confidentiality
All commercial conditions applicable to the relationship between Couleurs D'Argent and the Reseller, including, but not limited to, price lists, margins, commercial policies, market strategies, payment terms, minimum volumes, campaigns, reserved materials and any information of a technical or strategic nature, are strictly confidential.
The Reseller agrees not to disclose, share, reproduce or transmit such information to third parties, in whole or in part, without prior written authorization from Couleurs D'Argent, regardless of the means used.
The obligation of confidentiality remains in effect throughout the duration of the business relationship and will continue after its termination for a legally permissible period.
Violation of this clause constitutes sufficient grounds for immediate termination of the partnership, without prejudice to Couleurs D'Argent's right to claim compensation for any damages arising from improper disclosure.
Default and Termination
Failure to comply with the obligations set forth in this Policy, as well as any commercial conditions agreed between the parties, may result in the adoption of proportionate measures by Couleurs D'Argent, including, but not limited to, temporary suspension of supplies, review of commercial conditions, revocation of Reseller status, or termination of the commercial relationship.
The termination of the partnership may also occur due to a strategic decision by Couleurs D'Argent, specifically as a result of commercial reorganization, redefining market positioning, territorial restructuring, or protecting brand identity.
The resolution will take effect from the date of written notification of the decision, without prejudice to the fulfillment of obligations pending on the date of termination.
Applicable Legislation
This Policy is governed by current Portuguese law. For the resolution of any disputes arising from the interpretation, execution or termination of the commercial relationship established under this Policy, the court of the district where Couleurs D'Argent's headquarters are located shall have jurisdiction, with express waiver of any other.
